Introduction; Your Agreement to these Terms of Use

PLEASE READ THESE TERMS OF USE (“Terms of Use”) CAREFULLY. THIS IS A BINDING CONTRACT.

Welcome to the services operated by Haya Live. The “Haya Live Services” include our gaming-focused live streaming website (the “Website”), as well as our network of websites, software applications, and any other products or services offered by Haya Live. Please note that other services provided by Haya Live may be subject to separate terms.

When utilizing Haya Live Services, Users shall comply with all applicable Guidelines - additional terms, conditions, and rules governing specific services and features that Haya LIVE may periodically publish online. Furthermore, certain premium services offered through Haya LIVE may be subject to separate terms and conditions, which will be clearly disclosed to Users prior to accessing such paid features. All such supplemental terms, conditions, and Guidelines are hereby expressly incorporated by reference into these Terms of Use.

Upon accessing Haya Live Services or expressly accepting these Terms of Use when prompted, you hereby enter into a binding agreement to comply with: (i) these Terms of Use in their entirety; and (ii) our Privacy Policy, which is incorporated by reference. Your continued use of the Services constitutes ongoing acceptance of these terms. Should you decline to accept these Terms of Use or the Privacy Policy, you are expressly prohibited from accessing or utilizing any Haya Live Services.

By accessing or utilizing Haya Live Services, you expressly acknowledge and agree to be bound by all provisions contained in these Terms of Use, irrespective of whether you actively click to accept them. Should any aspect of these Terms of Use be unclear to you, it is strongly advised that you obtain independent legal counsel prior to engaging with our services. Continued use of Haya Live Services constitutes your unconditional acceptance of these terms in their entirety.

You understand and acknowledge that when using the Haya Live Services, you will be exposed to content from a variety of sources, and that we are not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such content.

By accessing and using Haya Live Services, you expressly acknowledge and agree that:

The Services may present content from diverse sources, including third parties and other users. Haya LIVE does not endorse, verify, or guarantee the accuracy, completeness, or reliability of any such content, You assume sole responsibility for evaluating the usefulness, appropriateness, and safety of any content encountered through the Services, and Haya LIVE disclaims all liability regarding intellectual property rights, legality, or any other aspects of third-party content accessible through the Services.Your use of any content obtained via the Services is at your own discretion and risk.

Risk Acknowledgment and Waiver of Rights: You further understand and acknowledge that you may be exposed to content that is inaccurate, indecent, or objectionable. With respect to such content, you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Haya Live.

Indemnification Obligation: Furthermore, you agree to indemnify and hold harmless Haya Live, its site operator, its parent corporation, their respective affiliates, licensors, service providers, officers, directors, employees, agents, successors, and assigns, to the fullest extent permitted by law, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including, without limitation, attorneys’ fees) arising from or related to your use of the Haya Live Services.

Ability to Accept Terms of Use

You affirm that you are at least 18 years of age, or the age of majority in your jurisdiction. You further confirm that you have the full capacity and competence to understand, accept, and be bound by all the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use.

If you are under the age of 18 (or the applicable age of majority), you may only use the Haya Live Services under the direct supervision of a parent or legal guardian who has agreed to be bound by these Terms of Use.

Paid Services

Some of the Haya Live Services we offer are paid services (“Paid Services”). You are required to pay the applicable fees when you use these services. We will notify you in advance if any service available to you under these terms is set to become a paid service. Access to a Paid Service is conditional on your agreement to pay the applicable charge. To be clear, we are not obligated to provide any Paid Service to you if you do not pay for it.

Payment Methods and Third-Party Terms: Paid Services can be purchased using credit cards, and where available, debit cards. All payments are processed through our third-party internet payment service providers. By purchasing any Paid Service, you consent to be bound by the third-party provider’s customer terms and conditions and privacy policies. You acknowledge that we have no control over these third-party policies. If you do not agree to them, you must not purchase any Paid Service.

Pricing, Packages, and Changes: Payment for Paid Services is required in advance. We offer a variety of packages for you to choose from. We reserve the right, at our sole discretion, to change service prices at any time without liability to you.

Effect of Account Termination: If your account is deleted by you or is otherwise terminated in accordance with these Terms of Use, all purchased Paid Services within your account will immediately become unavailable.

No-Refund Policy: All payments are non-refundable, and no refunds or credits will be provided for partially used periods. However, we reserve the right, at our sole discretion, to issue a refund for the purchased amount if we determine that a technical error occurred during the purchase or delivery of the service. This right is discretionary and does not create an obligation on our part.

Assessing the Haya Live Services, Account and Security

Accuracy of Information: When you interact with us or third-party service providers and submit information, including but not limited to account, credit card, or other payment details, you guarantee that all such information is accurate, complete, and current.

Third-Party Service Agreements: You further guarantee that you have reviewed and agree to all applicable policies and agreements of the relevant third-party service provider. Your use of any third-party service signifies your acceptance of and agreement to be bound by their terms.

Mobile Data Charges: If you access the Haya Live Services using a mobile data connection, you understand and acknowledge that your mobile carrier’s standard rates and fees, such as charges for excess data usage, will apply.

To register an account, you will be required to provide certain information, such as a mobile number and a password. You acknowledge that the ownership of the account belongs to HAYA LIVE, and you are granted a right to use it.The giving away, borrowing, renting, transferring, or selling of accounts is strictly prohibited. You are solely liable for any consequences arising from a breach of these rules. HAYA LIVE reserves the right to hold perpetrators of such acts legally accountable.

Haya Live Services may permit you to register or log in through certain third-party services (e.g., social media accounts). Please note that when you use these services, the third party’s collection, use, and disclosure of your information will be governed by its own privacy policy, not these Terms of Use. For details on how we collect, use, and disclose your personal information after you link your Haya Live account with a third-party service, please refer to our Privacy Policy.

As a user of Haya Live Services, you bear exclusive responsibility for maintaining the confidentiality of your account credentials and restricting access to your devices. You must ensure all activities conducted through your account remain secure and recognize that your account is strictly personal. Sharing login credentials (including usernames, passwords, or other security information) with any third party is expressly prohibited. In the event of any suspected unauthorized access, password compromise, or security breach, you must immediately notify us at rugefajatolen@gmail.com. When accessing your account from public or shared devices, exercise extreme caution to prevent password exposure or personal information disclosure. While Haya Live Services assumes no liability for losses resulting from unauthorized account access, you may be held financially responsible for any damages incurred by the platform or third parties due to such unauthorized use of your account.

Haya Live reserves the unilateral right to immediately deactivate or disable any user credentials - including usernames, passwords, or other authentication identifiers - at any time and without prior notice, regardless of whether such credentials were selected by you or issued by us. This discretionary action may be taken for any reason or no reason whatsoever, including but not limited to instances where we determine, in our sole judgment, that you have breached any provision of these Terms of Use. Such account restrictions may be implemented without liability to you and do not require us to provide justification for the action taken.

You acknowledge and agree that we reserve the right to charge fees for Haya Live Services in our complete and sole discretion.

Respecting Copyright

Haya Live strictly adheres to intellectual property laws and respects the rights of content creators. Should you believe that any material hosted on our platform infringes your copyright, as the copyright owner or authorized representative, you may submit a formal infringement notice containing the following required elements:

Date of Today
Type of material you are reporting (e.g: Live Streaming, Clip)
A description of where the material believed to be infringing is located on Haya Live Service (please be as detailed as possible and provide a URL to help us locate the material you are reporting);
Specific identification of each copyrighted work claimed to have been infringed
Copyright certificate, authorization document, and other materials proving the ownership of the copyright that is allegedly infringed; If you are the agent of the copyright owner, please also provide the Power of Attorney;
A statement that you have a good faith belief that use of the work(s) in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
A statement that the information in your notification is accurate, and that the complaining party is the owner of the right that is allegedly infringed, or agent for the owner.

Haya Live maintains a zero-tolerance policy against fraudulent copyright claims. We will automatically reject any infringement notifications that contain materially false statements or knowing misrepresentations upon discovery. Claimants who submit such deceptive notices may be held legally responsible for any damages resulting from their bad faith claims, including potential liability for wrongful takedown requests. This enforcement mechanism protects our users against abusive DMCA practices while ensuring legitimate claims receive proper attention.

Trademark and License

All trademarks, service marks, logos, and brand names associated with Haya Live, including our corporate names and associated visual identities, constitute our exclusive intellectual property. Any third-party trademarks, service marks, names, or logos appearing on the Haya Live Services remain the sole property of their respective owners, including those belonging to content creators and other authorized partners. Your use of the Haya Live Services does not confer any rights, licenses, or permissions to use, reproduce, or display any of these trademarks, whether belonging to us or third parties, without express written authorization from the respective trademark owners.

All websites, materials, and digital assets accessible through the Haya Live Services (collectively referred to as our "Works") represent proprietary content that we exclusively own, license, or otherwise legally control through creation, authorization, purchase, or licensing agreements. These Works enjoy comprehensive legal protection under applicable copyright, trademark, patent, trade secret, and other intellectual property laws. We expressly reserve all rights, titles, and interests in and to both our Works and the Haya Live Services platform itself, maintaining full ownership and control over their use, reproduction, distribution, and modification. Nothing contained within the Services shall be construed as transferring any ownership rights or granting licenses to users unless explicitly authorized in writing by Haya Live.

By accepting these Terms of Use, you acknowledge that Haya Live grants you a strictly limited, non-transferable, revocable license to access and utilize the Haya Live Services solely for personal or internal business purposes, unless otherwise explicitly authorized in writing by Haya Live. This license is non-exclusive and expressly prohibits: (1) any form of reproduction, modification, or adaptation of our Works; (2) reverse engineering, decompiling, or attempting to derive source code; (3) creating derivative works; or (4) any unauthorized publication, performance, or redistribution of content. All rights not expressly granted herein are reserved by Haya Live, and any violation of these usage restrictions constitutes immediate grounds for termination of your access privileges without notice

The limited license granted herein is expressly contingent upon your full compliance with all provisions of these Terms of Use. Any violation of these terms will result in the immediate and automatic termination of your license to access and use the Haya Live Services, without requirement of notice from us. To safeguard our intellectual property rights, certain content available through the Haya Live Services may incorporate digital rights management ("DRM") technologies that enforce specific usage limitations. You are strictly prohibited from attempting to bypass, remove, deactivate, modify, or otherwise interfere with any DRM protections, security measures, or access control technologies implemented within the Services. Any such circumvention attempts will constitute a material breach of these terms and may subject you to legal action.

User Generated Content

Haya Live enables users to engage with our platform through multiple interactive features, including but not limited to: (1) distributing both live-streamed and pre-recorded audiovisual content; (2) utilizing communication services such as chat functions, discussion forums, and voice interaction features; and (3) participating in various community activities that involve the creation, posting, transmission, performance, or storage of diverse content formats. This user-generated content ("UGC") encompasses all messages, textual content, audio materials, visual elements, software applications, code, and any other data or materials contributed to the Haya Live Services by users.

By creating, uploading, broadcasting, or otherwise submitting any User-Generated Content (UGC) through the Haya Live Services, you hereby grant Haya Live and its sublicensees a perpetual, worldwide, royalty-free, irrevocable, and non-exclusive license to utilize your content in any manner, without compensation or additional consent requirements. This comprehensive license includes, but is not limited to, the rights to: reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display your UGC in whole or in part across all existing and future media platforms and technologies. These usage rights are transferable and sublicensable by Haya Live without territorial or temporal restrictions. This authorization remains effective unless superseded by a separate written agreement executed by an authorized Haya Live representative.

Regarding live-streamed and pre-recorded audiovisual content, the license you grant to Haya Live will automatically terminate when you either: (1) delete the specific content from our platform; or (2) permanently close your account. However, this termination is subject to two important exceptions: (a) we retain the right to continue using such content for legitimate promotional purposes where it was previously incorporated into marketing materials; and (b) there may be a reasonable delay in completely removing the content from all backup systems and other technical infrastructure, during which time the license remains temporarily in effect solely for removal purposes.

As a user of Haya Live Services, you bear complete and exclusive responsibility for all User-Generated Content (UGC) you create, stream, post, upload, publish, transmit, or otherwise make available through our platform. This responsibility extends to all legal, financial, and reputational consequences arising from your UGC, including but not limited to its compliance with applicable laws, factual accuracy, reliability, and appropriateness for the intended audience. Haya Live expressly disclaims any responsibility or liability to you or third parties regarding the content, quality, or accuracy of any UGC appearing on our platform. While we reserve the right to review user content at our discretion, we undertake no obligation to monitor, screen, or verify UGC, and provide no warranties or representations of any kind concerning user-submitted materials. In no event shall Haya Live be held liable for any claims, damages, or losses relating to user-contributed content, whether such claims arise under contract, tort, or any other legal theory.

By submitting any User-Generated Content (UGC) to Haya Live Services, you expressly warrant that your content does not incorporate any material protected by third-party copyrights or other proprietary rights unless: (1) you have obtained explicit written permission from all relevant rights holders authorizing such use; or (2) you possess full legal authority (including applicable fair use rights) to both share the material and grant Haya Live all license rights specified in these Terms. This prohibition extends to all forms of protected content, including but not limited to text, images, audio, video, software code, and trademarked material. You understand that any unauthorized inclusion of third-party intellectual property in your UGC constitutes a material breach of these Terms and may result in immediate content removal, account suspension, and potential legal consequences.

Haya Live Services maintains a neutral position regarding all User-Generated Content (UGC) hosted on our platform. We expressly do not endorse, support, or guarantee the accuracy, quality, or reliability of any UGC, including but not limited to any opinions, recommendations, advice, or statements made by users or third-party content providers. Furthermore, Haya Live Services categorically disclaims all liability whatsoever for any claims, damages, or losses that may arise from or in connection with such UGC, whether related to its content, accuracy, completeness, or otherwise. Users should exercise independent judgment and bear full responsibility for evaluating and relying on any UGC at their own risk.

Share of User Generated Content

You may share your UGC to Haya Live Service and other social media, including Facebook, Twitter and YouTube (a “Connected Social Media” respectively) via Haya Live Services. If you share your UGC to Haya Live Service, you shall comply with this Haya Live Terms of Use. If you share your UGC to a Connected Social Media, you shall comply with the Connected Social Media’s terms of use (for example, YouTube’s Terms of Service) in addition to Haya Live Terms of Use.

Third-Party Content

Haya Live Services may display or provide access to various third-party content ("Third-Party Content") in addition to user-generated materials. We expressly state that we neither control nor endorse any such Third-Party Content, and we make no representations or warranties whatsoever regarding its accuracy, reliability, completeness, timeliness, or suitability for any purpose. Importantly, Haya Live does not create, review, update, or monitor Third-Party Content, and consequently disclaims all responsibility and liability for such content, including any errors, omissions, or potentially objectionable material. Users acknowledge and agree that they access and use all Third-Party Content at their own risk, and should verify any information independently before relying on it.

Haya Live Services may provide links to external websites, applications, or services ("Reference Sites") as a convenience to users, but you acknowledge and agree that: (1) your decision to access or use any Reference Sites is made entirely at your own discretion and risk; (2) we neither control nor endorse any Reference Sites or their content, products, or services; and (3) we make no representations or warranties regarding the accuracy, safety, or quality of any information, materials, or offerings available through such Reference Sites. Furthermore, any interactions, transactions, or promotional engagements you choose to have with advertisers displayed on our platform are conducted solely between you and the respective advertiser, without any involvement or liability on our part. You assume full responsibility for evaluating the suitability and risks associated with using any Reference Sites or engaging with third-party advertisers.

Idea Submission

By voluntarily providing any ideas, suggestions, documents, proposals, or other materials ("Submissions") to Haya Live, its services, or representatives, you expressly agree that: (1) Haya Live obtains a perpetual, royalty-free, worldwide license to utilize, modify, reproduce, distribute, and publicly display such Submissions for any business purpose; (2) Haya Live has no obligation to maintain the confidentiality of any Submission unless otherwise agreed in writing signed by an authorized executive officer; (3) the company may freely implement similar or identical ideas without providing compensation or attribution; and (4) you warrant that you have all necessary rights to make these Submissions without violating any third-party rights or confidentiality obligations. This policy applies regardless of the submission method (including verbal suggestions to employees) or whether the materials are marked as "confidential."

Prohibited Conduct

By accessing and using Haya Live Services, you expressly covenant and agree to utilize the platform solely for the lawful purposes explicitly authorized under these Terms of Use. Any unauthorized use, including but not limited to commercial exploitation, third-party promotions, or any activities not specifically contemplated herein, is strictly prohibited without obtaining prior written authorization from Haya Live's legal department. You acknowledge that violation of this provision may result in immediate account termination and potential legal action, as such unauthorized uses constitute material breaches of this agreement. This restriction applies equally to direct commercial applications and indirect monetization attempts through the platform's features or content.

By accessing Haya Live Services, you expressly agree to view all content in its original, unaltered form as presented by the platform. You are strictly prohibited from: (1) modifying, adapting, or altering any aspect of the Haya Live Services interface or functionality; (2) removing, obscuring, or deleting any content, features, or proprietary notices; or (3) employing any technical means to transform the presentation or substance of the Services' content. This prohibition extends to all methods of access including web browsers, mobile applications, and API connections. You acknowledge that any unauthorized modification constitutes a material breach of these Terms and may result in immediate termination of your access privileges, in addition to other available legal remedies.

You agree that you will not use or attempt to use any method, device, software or routine to harm others or interfere with the functioning of the Haya Live Services or use and/or monitor any information in or related to the Haya Live Services for any unauthorized purpose. Specifically, you agree not to use the Haya Live Services to:

violate any law (including without limitation laws related to torts, contracts, patents, trademarks, trade secrets, copyrights, defamation, obscenity, pornography, rights of publicity or other rights) or encourage or provide instructions to another to do so;
post any content that depicts any person under 18 years of age (or older in any other location in which 18 is not the minimum age of majority);
post any content that contains falsehoods or misrepresentations that could damage the reputation of Haya Live Services or any third party;
post any content that is obscene, illegal, unlawful, defamatory, libelous, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate;
post any content containing unsolicited or unauthorized advertising, promotional materials, spam, junk mail, chain letters, pyramid schemes or any other form of unauthorized solicitation;
post any content containing copyrighted materials, or materials protected by other intellectual property laws, that you do not own or for which you have not obtained all necessary written permissions and releases;
deploy or use programs, software or applications designed to harm, interfere with the operation of, or access in an unauthorized manner, services, networks, servers, or other infrastructure;
exceed your authorized access to any portion of the Haya Live Services;
collect or store personal data about anyone;
obtain or attempt to access or otherwise obtain any content or information through any means not intentionally made available or provided for through the Haya Live Services;
exploit errors in design, features which are not documented and/or bugs to gain access that would otherwise not be available;
use any robot, spider or other automatic device, process or means to access the Haya Live Services for any purpose, including monitoring or copying any of the material on the Haya Live Services without our prior written consent;
use any manual process to monitor or copy any of the material on the Haya Live Services or for any other unauthorized purpose without our prior written consent;
introduce or upload any viruses, Trojan horses, worms, logic bombs, time bombs, cancelbots, corrupted files or any other similar software, program or material which is malicious or technologically harmful or that may damage the operation of another’s property or of the Haya Live Services; or

remove any copyright or other proprietary notices from Haya Live Services or any of the materials contained therein.

Content Review and Termination

We have the right to:

remove any UGC you provide or contribute to the Haya Live Services for any or no reason in our sole discretion;
take any action with respect to any UGC provided by you that we deem necessary or appropriate in our sole discretion, including if we believe that such UGC violates these Terms of Use, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Haya Live Services or the public or could create liability for us;
take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Haya Live Services;
terminate or suspend your access to all or part of the Haya Live Services for any or no reason, including without limitation, any violation of these Terms of Use.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone providing any UGC on or through the Haya Live Services. Haya Live expressly reserves the right to fully cooperate with all valid legal requests from law enforcement agencies, regulatory authorities, or judicial bodies, including but not limited to complying with subpoenas, court orders, or other legally mandated disclosure requirements. This cooperation may involve disclosing any user information associated with User-Generated Content (UGC), including but not limited to: account holder identities, IP addresses, timestamps, contact information, and any other relevant data in our possession. Such disclosure may occur without prior notice to affected users when required by law or when we determine in good faith that disclosure is necessary to: (1) comply with legal obligations; (2) protect the rights, property, or safety of Haya Live, its users, or the public; or (3) investigate potential violations of these Terms of Use or applicable laws.

Haya Live reserves the unilateral right, but assumes no obligation, to monitor, review, filter, modify, or remove any User-Generated Content (UGC) at our sole discretion and without prior notice, in order to maintain service quality and comply with legal standards. This includes the authority to reject, refuse to post, delete, reformat, or restrict access to any UGC that we determine, in our judgment, to be: (1) offensive, obscene, violent, harassing, or threatening; (2) abusive, illegal, or otherwise objectionable; or (3) in violation of these Terms of Use, third-party rights, or applicable laws. These moderation actions may be taken without liability to you or any third party, and we expressly disclaim any responsibility for UGC that is altered or removed through this process. Our content management decisions are final and not subject to appeal, as we exercise this authority to preserve the integrity of our platform and protect our user community.

Haya Live explicitly states that we do not conduct pre-screening of User-Generated Content (UGC) prior to its posting on our platform, nor can we guarantee immediate removal of inappropriate content once published. You acknowledge and agree that: (1) we operate as a passive conduit for user content without any obligation to monitor in real-time; (2) the speed and effectiveness of content removal may be subject to technical and operational limitations; and (3) we consequently disclaim all liability for any failure to detect, review, or remove problematic UGC in a timely manner. This limitation of liability applies equally to all forms of user communications, transmissions, and shared materials, regardless of their nature or potential offensiveness. We strongly encourage users to utilize our reporting tools to flag objectionable content, while understanding that our response times may vary based on volume and complexity of review.

Modification

Haya Live reserves the right to modify these Terms of Use at any time by posting updated versions on our platform. Such amendments will become effective immediately upon publication, with the revised effective date clearly indicated in the modified document. Your continued access to or use of Haya Live Services following the effective date of any modifications constitutes: (1) your affirmative acceptance of all revised terms; and (2) your legally binding agreement to be governed by the updated Terms of Use in their entirety. We recommend that you periodically review these Terms to stay informed of any changes, as your failure to do so will not affect the enforceability of any modifications. This acceptance mechanism applies to all amendments, whether material or non-material in nature.

Indemnification

To the maximum extent allowed under applicable law, you hereby irrevocably agree to fully defend, indemnify, and hold harmless Haya Live, its platform operators, parent company, affiliated entities, licensors, service providers, officers, directors, employees, agents, successors, and assigns from and against any and all legal claims, damages, liabilities, costs (including reasonable attorneys' fees), and expenses arising out of or related to: (1) your access to or use of Haya Live Services; (2) any breach of these Terms of Use by you; (3) infringement of any third-party intellectual property, privacy, or other rights; or (4) damages caused to third parties by your User-Generated Content. This indemnification obligation shall remain in full force and effect indefinitely, surviving both the termination of these Terms and your cessation of using the Services. By accessing and using Haya Live Services, you expressly acknowledge and agree that: (1) your use of the platform is undertaken entirely at your own risk; (2) the Services are provided on an "as is" and "as available" basis without any representations or warranties whatsoever; and (3) to the maximum extent permitted by applicable law, Haya Live, its operators, officers, directors, employees, and agents hereby expressly disclaim all warranties, both express and implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, and those arising from course of dealing or usage of trade. This comprehensive disclaimer applies equally to the Services themselves and any goods or services obtained through the platform. You further accept full responsibility for any damages to your computer systems, mobile devices, or data loss that may result from your use of Haya Live Services, and acknowledge that we shall not be liable for any such technical issues, system failures, or data corruption that may occur during your access or use of our platform.

Haya Live expressly disclaims all warranties and representations regarding: (1) the accuracy, reliability, or completeness of any content on our platform or linked third-party sites; and (2) the suitability of our Services for your specific requirements. To the fullest extent permitted by law, we assume no liability for: (i) content errors, inaccuracies, or omissions; (ii) personal injuries or property damage arising from Service use; (iii) unauthorized access to our systems or compromised user data; (iv) malware transmission by third parties including viruses or trojan horses; (v) losses resulting from User-Generated Content (UGC) inaccuracies or defects; or (vi) disputes between platform users. This comprehensive limitation of liability applies regardless of the legal theory under which such claims might be brought, including negligence, contract, or tort, and covers all potential damages whether direct, indirect, incidental, consequential, or punitive in nature. Limitation of Liability

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, HAYA LIVE’S CUMULATIVE LIABILITY TO YOU ARISING FROM ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE CHARGES (IF ANY) PAID BY YOU. IF NO AMOUNTS WERE PAID, YOU SHALL NOT BE ENTITLED TO ANY MONETARY OR EQUIVALENT REMEDY.

IN NO EVENT SHALL WE BE LIABLE TO YOU FOR ANY INCIDENTAL, INDIRECT, PUNITIVE, STATUTORY, EXEMPLARY, EXPECTATION, SPECIAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF PROFIT, LOSS OF GOODWILL, INTERRUPTION, LOSS OF BUSINESS INFORMATION OR ANY OTHER FINANCIAL LOSS) IN ASSOCIATION WITH ANY INDIVIDUAL OR CLASS-ACTION CLAIM, OR ANY LOSS, DAMAGE, ACTION, SUIT OR OTHER PROCEEDING RELATING TO OR ARISING UNDER OR OUT OF THE TERMS OF USE, EVEN IF WE HAVE BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER THE ACTION IS FOUNDED UPON CONTRACT, INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, TORT, NEGLIGENCE OR OTHER GROUNDS.

YOU SPECIFICALLY ACKNOWLEDGE THAT THE HAYA LIVE SERVICES SHALL NOT BE LIABLE FOR CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. YOU AGREE NOT TO FILE ANY LAWSUIT OR PROCEEDING INCONSISTENT WITH THE FOREGOING LIABILITY LIMITATIONS.

Limitation on Time to File Claims

REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE HAYA LIVE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Choice of Law and Disputes Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of Singapore, without regard to choose of law principles. Should a dispute arise between the parties in connection with these Terms of Use, the parties shall attempt to resolve such dispute through friendly consultations between themselves. If, however, the dispute cannot be resolved within thirty (30) days after commencement of such friendly consultations, then the parties agree that such dispute shall be submitted to Singapore International Arbitration Center in accordance with its arbitration rules in force at the time of applying for arbitration. The seat of arbitration shall be Singapore. The arbitration shall be resolved by a sole arbitrator. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.

Without prejudice to any rules of confidentiality or equivalent in the applicable arbitration rules, the parties shall keep confidential all information relating to the arbitration, including without limitation, the existence of arbitration proceedings (or the possibility thereof), the proceedings themselves, all statements given or made during the course of the proceedings, all documents and other information submitted by parties in connection with the proceedings, all documents and other information issued by the arbitrator and/or the arbitration center and the arbitral award.

Miscellaneous

If we fail to exercise or enforce any right or provision of these Terms of Use, it will not constitute a waiver of such right or provision. Any waiver of any provision of these terms of use will be effective only if in writing and signed by the relevant party.

If any provision of these Terms of Use is held to be unlawful, void, or for any reason unenforceable, then that provision will be limited or eliminated from these terms of use to the minimum extent necessary and will not affect the validity and enforceability of any remaining provisions.

These terms of use and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Haya Live without restriction. Any assignment attempted to be made in violation of this terms of use shall be void.

Upon termination of these Terms of Use, any provision which, by its nature or express terms should survive, will survive such termination or expiration.

The Terms of Use, our privacy policy and any documents that expressly incorporate by reference constitute the sole and entire agreement between you and us with respect to the Haya Live Services and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Haya Live Services.

The headings in these Terms of Use are for convenience only and have no legal or contractual effect.

No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by these Terms of Use.

We may terminate these Terms of Use for any or no reason at any time by notifying you through a notice on the Haya Live Services, by email, or by any other method of communication. Any such termination will be without prejudice to our rights, remedies, claims, or defenses hereunder. Upon termination of the Terms of Use, you will no longer have a right to access your account or your UGC. We will not have any obligation to assist you in migrating your data or your UGC and we may not keep any back up of any of your UGC. We will not be responsible for deleting your UGC. Note that, even if your UGC is deleted from our active servers, it may remain in our archives (but we have no obligation to archive or back-up your UGC), and subject to the licenses set forth in these Terms of Use.
